Take a look at ARIN-2011-9 Global Policy for post exhaustion IPv4
allocation mechanisms by the IANA.  That defines a mechanism for IANA
to distribute space if they happen to receive it, either from RIRs or
from Legacy address holders directly.

The problem is, I don't think there'll be very many organizations
choosing to return space, so in addition to passing ARIN-2011-9, I
think we also need to pass ARIN-2011-1, so that organizations who
don't want to (or can't) return space for free can still get it into
more efficient use via transfer.
