John,
I would advocate for question 1 that membership should be granted to any resource holder that pays fees to ARIN. I think this is likely what you intended by the phrasing below, but the way it is worded is ambiguous and could mean open to any organization that chooses to fork over a membership fee.
I have no input for question 2 at this time.
