The arrival of a certain date is fairly unambiguous,  at most there
could be arguments about what timezone the change is measured in, and,
e.g. if a transfer request initiated 15 seconds after the sunset in
timezone X has to be rejected or not,  and if transfer requests that
were pending at the time also have to be rejected.

But IANA is an entity ARIN doesn't control; the exact moment the final
/8 is handed out might not be clear,  and advance warning may not be
available for actual planning and the review the Sunset is meant to
generate...



altogether.    It's just too vague and ambgiuous.
IANA might decide not to hand out what someone considers  "the last
/8", for some reason, e.g. they may decide to keep the final /8  to
make emergency or transitional assignments from later.   And there are
too many possibilities for the determination getting challenged.

e.g.  IANA allocates all the /8s  it plans to allocate,  someone will argue
that since IANA hasn't allocated  0.0.0.0/8  or other /8s it holds reserved,
that  there are some /8s that remain.
